Platform provided by EM ES for Ames Technologies

Effective July 29, 2026 · Version 0.5

These Terms & Conditions (the “Terms”) govern use of the EM ES workspace platform (the “Platform”), which EM ES (9507-5453 Québec Inc., “EM ES”, “we”, “us”, the “Provider”) provides and operates. The Platform is made available to customer organizations (each a “Customer”) — this deployment is provided for Ames Technologies — and to the people a Customer invites (“Authorized Users”). By signing in or using the Platform you agree to these Terms; if you do not agree, do not use the Platform.

Who is who

  • EM ES provides and operates the Platform and owns the Platform, its software, interface, and underlying technology.
  • Customer Organizations authorize and manage their own users: they decide who is invited, what roles and access people hold, and how their workspace is administered.
  • Authorized Users must follow both these Terms and their Customer’s own policies. Where a Customer’s internal policies are stricter, the Customer’s policies govern that user’s conduct within their organization.
  • Customer Content — messages, files, tasks, meetings, Vault entries, calendar information, and other workspace data submitted through a Customer’s workspace — is the Customer’s responsibility: its legality, accuracy, permissions, and administration rest with the Customer and its Authorized Users.

A workspace may display the Customer’s own name and branding (this deployment displays “Ames Technologies”). That is tenant branding only — it does not make the Customer the publisher or owner of the Platform. Platform provided by EM ES for Ames Technologies.

Who may use the Platform

Access is by invitation only: accounts are created and managed by a Customer’s administrators, and the Platform is not offered to the general public. You must be an Authorized User of a Customer. The Platform is intended only for Authorized Users who are at least 18 years old. It is not directed to children.

Accounts & security

You are responsible for keeping your sign-in credentials, App Lock PIN, and unlocked devices secure, and for activity that happens under your account. Biometric unlock is performed by your own device — see the Privacy Policy for exactly what is and is not stored. Tell your administrator or EM ES promptly if you believe your account has been compromised; changing your password signs out existing sessions and invalidates saved device sign-ins. EM ES or your Customer’s administrators may suspend or deactivate an account to protect the service or the organization.

Acceptable use

Use the Platform only for the Customer’s legitimate business. You must not:

  • use the Platform for anything unlawful, or upload content you have no right to share;
  • attempt to access another person’s account, private chats, or Vault entries;
  • probe, disrupt, overload, or circumvent the Platform’s security or access controls;
  • record calls or share workspace content outside the organization except as your role, your Customer’s policies, and applicable law permit — in-app call recording is always visibly indicated to participants.

Customer Content — ownership and permissions

Customers and their Authorized Users retain their rights in Customer Content — these Terms do not transfer ownership of workspace content to EM ES. In exchange, EM ES receives the limited permission needed to host, transmit, process, back up, and display Customer Content in order to provide and secure the service, including through the service providers described in the Privacy Policy. Content visibility inside a workspace follows the Platform’s rules and the Customer’s administration (for example, task assignees, chat participants, and the special privacy of direct 1:1 messages described in the Privacy Policy).

Customer administrators may manage users, permissions, and Customer Content only through the administrative features EM ES currently makes available. The Platform does not guarantee a self-service export or deleted-content recovery feature. EM ES operator and infrastructure access is described in the Privacy Policy’s “Who can access workspace information” section. Deleted direct 1:1 message content is not recoverable by anyone.

Support access

When an Authorized User asks EM ES for help, the Platform provides a support-code mechanism: the user generates a temporary code that a specific EM ES operator redeems to receive limited, temporary, read-only assistance, scoped to the granting user’s own authority — an ordinary user’s grant reaches only what that user can already see, and only a Customer administrator can authorize workspace-wide visibility. A support code does not transfer account control or ownership, and does not permit EM ES to change Customer Content or take account actions on a Customer’s behalf. Customer administrators remain responsible for the Customer-managed actions, permissions, user administration, and Customer Content changes available through the Platform. Separately, EM ES may publish Provider-authored platform and release announcements independently of support access. How operator and infrastructure access work is detailed in the Privacy Policy’s “Who can access workspace information” section.

The service

The Platform’s features (including messaging, video calls, calendar sync, AI assistance, and notifications) may change, and some depend on third-party providers and on configuration that may be enabled or disabled per deployment. EM ES works to keep the Platform available and reliable but does not promise uninterrupted or error-free operation, and scheduled or emergency maintenance may occur. Push notifications and emails depend on your device, platform, and settings (including quiet hours you configure).

A Customer Organization may have a separate written service agreement, order, data-processing agreement, or other agreement with EM ES. If a signed agreement conflicts with these Terms, the signed agreement controls to the extent of that conflict.

Recordings & AI features

Where video calling is enabled, recordings are always visibly indicated to everyone in the call and are stored with the video provider. Where the AI assistant or voice-note transcription is enabled, output is generated automatically and can be imperfect — review it before relying on it for business decisions.

Privacy

The Privacy Policy explains what information is handled on the Platform, the split between information EM ES handles for its own purposes and Customer Content, and where to send requests. It forms part of these Terms.

Suspension, termination & what happens to content

A Customer’s administrators may deactivate or delete accounts in their workspace at any time (for example, when someone leaves the team), and EM ES may suspend access to protect the Platform. Ending an Authorized User’s access does not by itself delete the Customer Content they contributed — workspace records remain under the Customer’s administration as described in the Privacy Policy’s retention section. You may stop using the Platform at any time and may direct account requests as the Privacy Policy describes.

Service availability and warranties

EM ES will use reasonable efforts to operate and secure the Platform. However, to the maximum extent permitted by applicable law, the Platform and all related services are provided “as is” and “as available.”

EM ES does not guarantee that the Platform will always be available, uninterrupted, error-free, completely secure, or free from data loss. To the maximum extent permitted by applicable law, EM ES disclaims all warranties and conditions that are not expressly stated in these Terms, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes any warranty, condition, right, or remedy that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by applicable law, EM ES and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising from or relating to the Platform or these Terms, even if advised that such damages were possible.

To the maximum extent permitted by applicable law, the total aggregate liability of EM ES arising from or relating to the Platform or these Terms will not exceed the greater of:

  1. the amounts paid or payable by the applicable Customer Organization to EM ES for the Platform during the 12 months immediately preceding the event giving rise to the claim; or
  2. CAD $100.

Multiple claims do not increase this limit.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability for bodily or moral injury, or material injury caused by an intentional or gross fault. They also do not limit any mandatory right or remedy available under applicable privacy, data-protection, or consumer-protection law.

Customer-agreement priority

If EM ES and a Customer Organization have signed a separate service agreement, order, or other written agreement containing different warranty or liability terms, that signed agreement controls to the extent of the conflict.

Governing law

These Terms are governed by the laws of Québec and the applicable federal laws of Canada, without regard to conflict-of-law principles. Subject to applicable mandatory law, disputes will be submitted to the courts located in the judicial district of Montréal, Québec. EM ES operates from Montréal, Québec, Canada.

Changes to these Terms

EM ES may update these Terms from time to time. Material changes will be reflected by updating the effective date and version at the top of this page; continued use of the Platform after a change means the updated Terms apply.
